1. About These Terms

These Terms of Service govern your use of the website and services provided by Team Up Now Pty Ltd (ACN 646 286 937), located at 101 Moray St, South Melbourne VIC 3205, Australia.

By accessing our website or engaging our services, you agree to be bound by these terms. If you do not agree, please do not use our website or services.

2. Services

Team Up Now provides outsourced staffing and operational support services, connecting Australian businesses with experienced professionals based in the Philippines. Our services include, but are not limited to, executive assistance, administration, operations support, bookkeeping, payroll, and marketing support.

The specific scope, deliverables, and terms of each engagement are set out in a separate service agreement between Team Up Now and the client. These Terms of Service apply in addition to any such agreement. Where there is a conflict, the service agreement prevails.

3. No Employment Relationship

Team members placed by Team Up Now are employed by Team Up Now, not by the client. No employment, partnership, joint venture, or agency relationship is created between the client and the placed team member unless expressly agreed in writing.

Team Up Now is responsible for all employment obligations in the Philippines, including payroll, tax, benefits, and compliance with local labour laws.

4. Fees and Payment

Fees for our services are set out in the relevant service agreement. Unless otherwise stated:

• All fees are quoted in Australian dollars and are exclusive of GST unless specified.
• Invoices are payable within the timeframe stated in the service agreement.
• Late payments may incur interest or result in suspension of services, as outlined in the service agreement.

Specific pricing, billing cycles, and payment terms are detailed in each client's individual agreement with Team Up Now.

5. Confidentiality

Both parties agree to keep confidential any information received from the other that is not publicly available, including business processes, client data, pricing, and operational details.

Team Up Now takes reasonable steps to ensure that all team members handling client information are bound by appropriate confidentiality obligations. Confidential information will not be disclosed to third parties without consent, except where required by law.

6. Intellectual Property

All work product, deliverables, and materials created by Team Up Now team members in the course of providing services to a client are owned by the client upon full payment, unless otherwise agreed in writing.

Team Up Now retains ownership of its proprietary systems, processes, templates, and methodologies. Nothing in these terms transfers ownership of Team Up Now's pre-existing intellectual property to the client.

7. Limitation of Liability

To the maximum extent permitted by law:

• Team Up Now's total aggregate liability to the client under or in connection with these terms or any service agreement is limited to the total fees paid by the client to Team Up Now in the six (6) months immediately preceding the event giving rise to the claim.
• Team Up Now is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, however caused.

Nothing in these terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by legislation (including the Australian Consumer Law) that cannot be lawfully excluded or limited. If Team Up Now's liability for breach of such a guarantee, warranty, or condition cannot be excluded, it is limited to the re-supply of the relevant services or payment of the cost of having those services re-supplied.

8. Termination

Either party may terminate a service engagement in accordance with the terms set out in the relevant service agreement. Where no service agreement applies, either party may terminate by providing 30 days' written notice.

Clauses relating to confidentiality, intellectual property, limitation of liability, and governing law survive termination.

9. Website Use

You may use our website for lawful purposes only. You must not use our website in any way that breaches applicable laws or regulations, or in any way that is fraudulent or harmful.

The content on our website is provided for general information purposes. While we make reasonable efforts to keep it accurate and up to date, we do not guarantee the completeness or accuracy of the information provided.

10. Governing Law

These terms are governed by the laws of the State of Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Victoria and any courts that may hear appeals from those courts.

11. Changes to These Terms

We may update these Terms of Service from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
